Terms of service

1. About these terms

MeroIMS is provided by A.K. Research Lab Pvt. Ltd. ("A.K. Research Lab", "we" or "us"), a company registered in Nepal (Reg. No. 401864/83/84) with its registered office at Nagarjun-4, Kathmandu. These terms are the agreement between us and the business or organisation using MeroIMS ("you" or the "Customer").

By creating an account or using the service you accept these terms. If you are accepting on behalf of a business, you confirm you are authorised to bind it to them. If you do not agree, do not use the service.

2. The service

MeroIMS is cloud software for running a business in Nepal. It covers inventory, sales and POS, purchases, VAT billing, double-entry accounting, reports and AI features, along with add-ons such as IRD billing and extra warehouses.

What you can use depends on your plan and the add-ons you buy. The product changes over time, and significant changes will be announced in the application.

MeroIMS is a standard product offered to every customer in the same form, not software built to order. Use the trial or a demo to decide whether it meets your needs before you subscribe.

3. Feature requests

We welcome requests for new features and changes, and we weigh them against how many customers they would help, how feasible they are, and what is already planned. Discussing or acknowledging a request is not a promise to build it, or to build it by a particular date, unless we agree to that in writing. Please subscribe based on what MeroIMS does today.

4. Your account and administrators

The person who signs your business up becomes its administrator, and can configure the service and invite or remove staff. If someone outside your business sets up the account for you, they may hold the administrator role, so agree with them in writing what they may do with it.

You are responsible for:

• Keeping the details on your account accurate and up to date.
• Keeping log-in credentials confidential, and giving each staff member their own log-in so the audit trail stays meaningful.
• Choosing competent administrators and not losing control of the administrator account.
• Making sure everything done under your account complies with these terms.

5. Changing the administrator

If you need the administrator changed and cannot do it yourself, contact support from the email registered on the account. If that email is unreachable, we will verify ownership against your registered PAN/VAT, and may ask for further documents, before making the change. Tell us promptly if you believe an account has been compromised.

6. Plans, add-ons and payment

Plans are sold for a billing period (monthly, yearly, three years or ten years) and the price for that period is shown at the point of purchase. Add-ons are charged as described on their own pages: one-time, per year, per location, or per unit.

Fees are payable in advance and are stated exclusive of taxes unless marked otherwise. Access to the service continues for the period you have paid for.

• Upgrades apply immediately and are prorated against the unused part of your current period.
• Changes to your billing period take effect at your next renewal.
• Limits on branches, staff, products and journal entries are those of your plan, and can be extended with add-ons.
• We may change our prices, but a change will not apply until your current paid period ends.
• Plans do not renew automatically. To keep using the service after your paid period ends, renew it before it expires.

7. IRD billing compliance

If you use the IRD billing add-on, both you and we agree to meet the requirements of the Inland Revenue Department of Nepal, including the Electronic Billing Procedure, 2074 (विद्युतीय बीजक सम्बन्धी कार्यविधि, २०७४) and any updates the department issues. Each party is responsible for fines or penalties arising from its own failure to comply, and will indemnify the other for losses that failure causes.

8. Acceptable use

You agree not to:

• Use the service to break the law, including tax and accounting law.
• Attempt to gain access to another customer's data or to parts of the system you are not authorised to use.
• Interfere with the operation of the service, run scripts or automated tools that affect other customers, or test its security without our written permission.
• Resell or provide the service to a third party without an agreement with us.

9. Your data

The business data you enter remains yours, and we claim no rights over it. We process it to provide the service, as described in our privacy policy. You can export it at any time, and we will not withhold it from you.

We disclose your data only where the law, a regulator or a court order requires it. Where we are allowed to, we will tell you first so you have the chance to challenge the request.

Some AI features, such as AI import and the AI assistant, are powered by Google's Gemini models, and the limited data needed for a feature is sent to Google only to deliver it. We do not use your data to train AI models. To learn how Google handles it, you can read Google's Gemini API terms of service.

You are responsible for the accuracy of what you record. MeroIMS produces reports and returns from the data you enter; it does not replace your own review or professional advice.

10. Security, backups and confidentiality

Your data is encrypted in transit and at rest and backed up continuously. Backups are used only to restore data after a loss. If we confirm or suspect unauthorised access to your data, we will tell you without undue delay, with what happened and what we are doing about it.

We will not disclose your confidential information except as described above, and that obligation continues after you stop using MeroIMS. Likewise, you agree to keep confidential anything we share with you that is marked confidential or is clearly meant to be.

11. When your subscription ends

If your subscription expires or is cancelled, you can still sign in and export your data for 15 days afterwards. After that, we are no longer obliged to keep it and it may be deleted from our active systems; backups age out on their own schedule.

Records that Nepali law requires to be kept, such as IRD-registered bills and tax documents, are kept for the period the law requires and cannot be deleted on request before then.

12. Availability and support

We work to keep the service available continuously, but no online service is available without interruption. Planned maintenance is announced in advance where practical, and current service state is published on our status page.

Support is included with every plan. Response times depend on your plan and the severity of the issue.

13. Suspension and termination

You may close your account at any time. Fees already paid for the current period are not refundable except where required by law, and any unpaid fees for that period become due immediately.

We may suspend an account for non-payment, or for use that breaches these terms or endangers the service or other customers. Except in urgent cases we will contact you first and give you a chance to put it right.

14. Our name and software

The MeroIMS software, name and logo belong to A.K. Research Lab Pvt. Ltd.. A subscription gives you the right to use the service, not ownership of it, and you may not use our name or logo without our permission.

15. Events outside our control

Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, power or internet outages, failures of third-party providers, strikes, unrest, or changes in law or government action. The affected party is excused for as long as the event lasts.

16. Liability and indemnity

The service is provided as-is to the extent permitted by law. We are not liable for indirect or consequential loss, including lost profits or lost business. Where liability cannot be excluded, it is limited to the fees you paid us in the twelve months before the claim.

Each party will cover the other's losses and reasonable costs, including legal fees, arising from its own misuse of the service, negligence or breach of these terms.

Nothing in these terms limits liability that cannot be limited under the law of Nepal.

17. Changes

We may update these terms as the product changes. The date at the top of this page shows the current version, and material changes will be announced in the application before they take effect. Continuing to use the service after that means you accept the updated terms.

18. Governing law

These terms are governed by the laws of Nepal, and the courts of Kathmandu have jurisdiction over any dispute arising from them.
